Terms and Conditions
These terms describe the general conditions for using JRS e-invoicing, tax reporting, SAP integration, and enterprise application services.
These terms incorporate the JRS Privacy Policy. Customer-specific commercial terms, service levels, and data processing terms may be agreed in a signed contract, statement of work, or data processing agreement.

Provider
These online terms are published for software and related services provided under the JRS brand by 上海景荣铄信息技术有限公司, rendered in English as Shanghai Jingrongshuo Information Technology Co., Ltd. for convenience.
Agreement structure
These terms apply unless a signed customer agreement says otherwise. A signed service agreement, order form, statement of work, data processing agreement, or other written contract may add to or override these online terms for the relevant customer engagement.
The Privacy Policy explains how personal data and customer business data are handled. Where JRS processes customer-controlled data as a processor, the applicable data processing agreement or signed customer agreement governs those processing activities.
Use of the service
JRS provides software and related services for e-invoicing, tax reporting, SAP integration, and enterprise application scenarios. Customers may use the service only for lawful business purposes and in accordance with applicable agreements and instructions.
Intellectual property and licence
JRS and its licensors retain all rights in the software, documentation, configurations, templates, methods, and related service materials unless a signed agreement states otherwise.
Customers receive only the rights expressly granted in the applicable agreement to access or use the service for their internal business purposes.
Customer responsibilities
- provide accurate, complete, and lawful business, invoice, tax, and user information
- ensure that users are authorised to access the relevant company, taxpayer, and submission data
- review generated or submitted data before relying on it for tax, finance, or compliance purposes
- maintain appropriate internal approval, accounting, and tax control processes
- obtain and maintain all permissions needed to connect company systems, tax authority accounts, users, and third-party services
Tax authority access and authorisation
Where the service connects to HMRC or another tax authority API, the customer is responsible for ensuring that the required authorisation is granted by an authorised person and remains valid.
JRS may process access tokens, refresh tokens, fraud prevention data, IP allow-list information, and API logs as needed to operate and support authorised submissions.
Customer data and data protection
Customer data remains the customer's data. JRS will use customer data to provide, secure, support, and improve the service, and to meet legal or regulatory obligations.
Where required, the parties may enter into a data processing agreement covering processor obligations, sub-processors, security measures, incident handling, assistance with data subject requests, audit support, and return or deletion of data.
After termination or expiry of a customer engagement, customer data will be returned, exported, retained, or deleted according to the signed agreement, applicable data processing terms, legal and audit obligations, and backup lifecycle.
No tax or legal advice
Unless expressly agreed in writing, JRS provides software, implementation, integration, and technical support services. The service is not a substitute for professional tax, accounting, or legal advice.
Customers remain responsible for their tax positions, filing obligations, accounting treatment, and the accuracy of information submitted to authorities.
Service availability and third-party systems
The service may depend on customer systems, SAP environments, network connectivity, cloud providers, HMRC APIs, tax authority platforms, and other third-party services.
JRS will use reasonable efforts to support stable operation, but external platform changes, outages, rate limits, authorisation failures, or customer-side configuration issues may affect availability or processing results.
Security
Customers must protect their user accounts, credentials, API authorisations, devices, network access, and internal approval workflows. Suspected unauthorised access or security incidents should be reported to JRS promptly.
JRS may suspend or restrict access where reasonably necessary to protect the service, customer data, connected tax authority services, or other users.
Changes and termination
JRS may update the service, documentation, interfaces, and these terms where needed for security, legal compliance, platform compatibility, or product improvement.
Customer-specific termination, suspension, fee, and service level terms are handled in the applicable signed agreement or statement of work.
Customer-specific governing law, jurisdiction, liability, and dispute resolution terms are handled in the applicable signed agreement where relevant.
